These Terms cover acceptable use, prohibited activities, intellectual property rights, user-generated content, disclaimers, limitations of liability, dispute resolution, and the legal relationship between you and our company. If you do not agree, please refrain from using the website.
1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the SaaS platform Astra Crew (“Platform”), operated by Astra Crew s.r.o., a company incorporated under the laws of the Czech Republic, Company ID 24751286, with its registered office at Na Folimance 2155/15, Vinohrady, 120 00 Praha 2, Czech Republic (hereinafter “Astra Crew”, “we”, “us”, or “our”).
By creating an account, accessing, or using our Platform, you (“User”, “Seafarer”, “Employer” or “Agency”) agree to be bound by these Terms.
2. Definitions
“Platform” means the Astra Crew SaaS recruitment software and related services.
“User” means any person or entity using the Platform, including Seafarers, Employers, and Agencies.
“Seafarer” means an individual seeking maritime employment opportunities (onboard or shore-based) via the Platform.
“Employer” or “Agency” means a company, shipowner, manager, operator, or crewing agency posting vacancies or seeking candidates.
“Paid Services” means subscription-based or fee-based features offered via the Platform.
“Personal Data” has the meaning set under applicable data protection laws, including GDPR.
“Consumer” means a natural person acting for purposes outside that person’s trade, business, craft, or profession (where such status is recognized under applicable law).
“MLC 2006” means the Maritime Labour Convention, 2006, as amended.
“Sanctions Laws” means applicable sanctions, embargoes, and restrictive measures administered or enforced by the European Union, United Nations, United States (including OFAC), the United Kingdom, and other applicable authorities.
3. Scope of Services (SaaS Intermediary)
Brokerage Connections Disclaimer (No Agency / No Brokerage / No Fiduciary Duties).
The Platform may enable introductions and networking between Users for maritime commercial opportunities, including (without limitation) vessel chartering, cargo opportunities, shipbroking-related leads, and other brokerage-style connections (“Brokerage Connections”).
Astra Crew acts solely as a technology provider and neutral intermediary facilitating communication between Users, and does not act as a shipbroker, broker, chartering agent, cargo agent, forwarding agent, representative, intermediary with authority, or fiduciary of any User.
Astra Crew does not negotiate, draft, review, endorse, verify, or conclude any charter party, cargo contract, brokerage agreement, or any other commercial agreement, and does not provide legal, tax, financial, or commercial advice.
All discussions, negotiations, due diligence, compliance checks, contract formation, performance, and settlement of any transaction arising from Brokerage Connections are solely between the relevant Users, and Users remain fully responsible for verifying counterparties and for complying with all applicable laws, regulations, sanctions, and industry standards.
Any transaction terms, confirmations, charter parties, fixtures, payments, commissions, demurrage/despatch, claims, and disputes are exclusively the responsibility of the Users involved, and Astra Crew shall have no responsibility or liability for (i) misrepresentations made by any User, (ii) non-performance or breach of any agreement, or (iii) any loss arising from reliance on information exchanged via the Platform.

Users acknowledge that information, listings, offers, and messages related to Brokerage Connections may be provided by third parties and may be incomplete, inaccurate, or misleading, and Users must perform their own independent verification and risk assessment before entering into any transaction.
Astra Crew makes no warranties regarding the existence, validity, legality, quality, or suitability of any Brokerage Connection opportunity or counterparty
4. Eligibility & User Status
Users must be at least 18 years old.
Users must provide accurate and truthful information and keep their information up to date.
Employers/Agencies must comply with applicable maritime and labor laws in their jurisdictions.
Consumer vs. Business Notice: Certain provisions of these Terms (including, without limitation, limitations of liability, jurisdiction clauses, and “no refunds” wording) may not apply to the extent a Seafarer qualifies as a Consumer under mandatory consumer protection laws.
5. Accounts & Responsibilities
Users are responsible for maintaining the confidentiality of login credentials and for all activity under their account.
Employers/Agencies are responsible for the accuracy, legality, and non-discriminatory nature of job postings and for ensuring that all recruitment and hiring activities comply with applicable laws (including maritime labor laws).
Seafarers are responsible for the accuracy and legality of their CVs, certificates, endorsements, sea service records, and uploaded documents.
Astra Crew may suspend or terminate accounts for violations of these Terms, suspected fraud, or security reasons.
6. Payments, Subscriptions & Refunds
Some services are free, while others require a paid subscription. Subscription tiers include Basic (free job search), Premium (enhanced visibility for Seafarers), and Enterprise (advanced tools for Employers/Agencies).
Subscriptions may renew automatically unless cancelled before the renewal date.
Payments are processed by third-party providers; applicable taxes may be added.
Refunds are not provided except where required by law.
Clarification on who pays: Paid Services are primarily intended for Employers/Agencies (B2B). Seafarers are not charged recruitment or placement fees.
7. Data Protection & Privacy
Astra Crew processes Personal Data in compliance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and other applicable laws.
Data subjects have rights to access, rectify, erase, restrict, port, and object to the processing of their data, as further described in our Privacy Policy.
Data may be transferred outside the EEA under lawful mechanisms (e.g., Standard Contractual Clauses), and in case of a personal data breach Astra Crew will notify affected users without undue delay where required.
For B2B clients, a Data Processing Agreement (DPA) is available upon request.
8. User Content & License
By posting or uploading content (including CVs, photos, certificates, job descriptions), you grant Astra Crew a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and technically process such content solely for the purpose of operating, providing, securing, and improving the Platform and delivering the Services.
To the extent “transferability” or “modification” is necessary, it is limited to what is technically required to operate the Platform (for example, formatting, compression, or display optimization), and does not permit unrelated commercial exploitation of CVs or personal profiles.
You represent and warrant that you have all rights necessary to grant this license and that your content does not infringe third-party rights or violate applicable law.
9. Prohibited Activities
Users may not: provide false or misleading information; post discriminatory, illegal, or fraudulent job offers; infringe intellectual property rights; or attempt to hack, disrupt, or misuse the Platform.
Users may not use the Platform to evade laws, conduct deceptive recruitment, charge prohibited fees to seafarers, post vacancies requiring prohibited recruitment fees or violating MLC 2006 recruitment standards, use automated tools (scrapers, bots) to extract data or circumvent Platform features, or facilitate any activity that violates MLC 2006 principles or applicable maritime labor protections.
10. Intellectual Property
All trademarks, logos, software, and content on the Platform are the property of Astra Crew s.r.o. or its licensors. Users are granted a limited, non-exclusive, non-transferable license to use the Platform for its intended purposes only.
11. Third-Party Services
The Platform may integrate services such as payment processors or verification providers. Astra Crew is not responsible for the availability, performance, or accuracy of third-party services, and Users must comply with the terms of those providers.
12. Disclaimers & Warranties (including Vetting)
The Platform is provided “as is” and “as available”, without warranties of any kind, express or implied.
Astra Crew does not warrant that the Platform will be uninterrupted or error-free, that job postings are accurate or complete, or that employment will be secured through the Platform.
No vetting / verification disclaimer: Unless explicitly stated otherwise in writing by Astra Crew, Astra Crew does not verify Seafarers' medical fitness, certificates, licenses, qualifications, flag endorsements, background checks, or authenticity of uploaded documents. Verification and suitability checks remain the sole responsibility of Employers and Agencies.
13. Limitation of Liability
To the maximum extent permitted by law, Astra Crew's aggregate liability for all claims shall not exceed the total amount of fees paid by the User during the twelve (12) months preceding the claim.
Nothing in these Terms excludes liability for gross negligence, wilful misconduct, or liability that cannot be excluded under applicable law.
Where a User is a Consumer, mandatory consumer protection laws may provide additional rights and remedies that cannot be excluded or limited by contract.
14. Indemnification
Users agree to indemnify and hold Astra Crew, its employees, and affiliates harmless from claims, damages, or expenses arising from violation of these Terms, violation of laws or third-party rights, or misuse of the Platform.
This includes (where applicable) claims arising from inaccurate job postings, unlawful recruitment practices, prohibited fee charging, or failure to comply with MLC 2006 and applicable maritime labor laws by Employers/Agencies.
15. Termination
Astra Crew may suspend or terminate access to the Platform, with or without notice, in case of violations. Upon termination, certain provisions (Intellectual Property, Indemnification, Limitation of Liability) shall survive.
16. Force Majeure
Neither party shall be liable for failure to perform due to causes beyond reasonable control, including natural disasters, war, terrorism, strikes, or governmental actions.

Notices to Users will be sent to the email address associated with their account.
18. Sanctions & Export Controls
Users represent and warrant that they (and, where applicable, their beneficial owners, directors, and key officers) are not subject to Sanctions Laws and are not located in, organized in, or ordinarily resident in a jurisdiction subject to comprehensive embargoes that would make use of the Platform unlawful.
Users shall not use the Platform in any manner that would violate applicable EU, UN, UK, or US (including OFAC) sanctions or embargoes, and Astra Crew may suspend or terminate accounts to comply with Sanctions Laws or risk-based compliance requirements.
19. Governing Law & Jurisdiction
These Terms are governed by the laws of the Czech Republic. Any disputes shall be subject to the exclusive jurisdiction of the courts of Prague, Czech Republic, to the extent permitted by applicable mandatory law (including consumer protection rules where applicable).
20. Language
These Terms are written in English. If translated, the English version shall prevail.
21. Community & Networking Features
The Platform enables networking, collaboration between maritime professionals, and sharing of industry insights. Users are prohibited from posting spam, unsolicited commercial messages, or off-topic content. Astra Crew moderates content at its discretion but does not guarantee removal of all inappropriate material.
22. Changes to Terms
We may amend these Terms from time to time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
